Terms of Use

The terms that govern your use of Mnemo and meetmnemo.com, provided by Zypher Systems, LLC.

These Terms of Use (“Terms”) are an agreement between you and Zypher Systems, LLC (“Zypher,” “we,” “us”) for Mnemo and the websites at meetmnemo.com and app.meetmnemo.com (together, the “Service”).

By creating an account, accessing the Service, or clicking to accept these Terms, you agree to them. If you use Mnemo for an organization, you represent that you can bind that organization.

The Privacy Policy explains how we handle personal information.

The Service

Mnemo is a collaborative workspace for nested pages, whiteboards, and lightweight databases. You can invite teammates, publish optional read-only links, import a Notion HTML export, download a restoreable backup, and connect tools through a REST API and MCP using personal access tokens.

We may change, suspend, or discontinue features. We do not promise any particular uptime, and Mnemo is not a full offline application. If sync drops on a page you already have open, you may be able to keep working on that page and retry; navigation, search, and most of the rest of the Service still need a network connection.

Accounts

You must provide accurate account information and keep your password (and any two-factor method you enable) confidential. You are responsible for activity under your account.

You must be at least 13 years old, or the minimum age required in your country to use an online service without parental consent, whichever is higher.

We may refuse, suspend, or close an account if these Terms are broken or if we need to protect the Service or other users.

Your content

You retain ownership of the pages, boards, databases, comments, files, and other material you put in Mnemo (“Your Content”).

You grant Zypher a limited license to host, store, back up, transmit, display, and process Your Content only as needed to operate and improve the Service — including live collaboration, search, version history, sharing you turn on, imports and exports you request, and API or MCP access you authorize.

You are responsible for Your Content and for having the rights to use it in Mnemo. Do not upload material you do not have the right to share.

Workspace roles and page-level access control who on the team can see a page. Public read-only links are off by default. If you create a public link, anyone with that link can open that page (and, where the product allows it, workspace-visible databases it embeds). You can revoke a public link.

A restoreable backup never overwrites the workspace you are in; restore always creates a new workspace. Teammates are not copied as members onto a restored workspace.

API and MCP

If you create a personal access token, you are responsible for that secret and for what tools do with it. Tokens follow your page permissions, then any page or database limits you set. Write is the default unless you mark a token or grant read-only.

Free workspaces share a monthly allowance of successful API and MCP calls. Failed calls do not count. We may change the allowance, and we may throttle or reject traffic that harms the Service.

Do not share tokens publicly, scrape the Service in a way that burdens other users, or attempt to bypass permissions.

Plans, storage, and billing

Mnemo currently offers a Free plan with every product feature, subject to storage and API/MCP call limits described on the pricing page. A Pro plan with higher limits may be offered later.

Storage quotas apply to attachments and other stored files. When a workspace is over its limit, new uploads may fail until space is freed or the workspace is on a plan with more room.

If we introduce paid plans, fees, taxes, renewals, and cancellation will be shown at checkout. Until then, no payment is required to use Free.

Acceptable use

You agree not to:

  • break the law, or use Mnemo to host or share illegal content
  • upload malware, or probe, scan, or attack the Service
  • interfere with other users, or access an account or workspace you were not invited to
  • send spam, or use the Service to abuse email or invite flows
  • reverse engineer the Service except as allowed by law
  • use the Service to collect personal information from others without a lawful basis
  • impersonate Zypher or another person

We may remove content or suspend access when we reasonably believe this section has been violated.

Our rights

Mnemo, the meetmnemo.com sites, and our trademarks, logos, and software are owned by Zypher Systems, LLC and its licensors. These Terms do not give you any ownership in the Service.

If you send feedback, ideas, or bug reports, you grant Zypher a perpetual, worldwide, royalty-free license to use them without obligation to you.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ZYPHER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT YOUR CONTENT WILL NEVER BE LOST. KEEP YOUR OWN BACKUPS OF ANYTHING YOU CANNOT AFFORD TO LOSE.

Mnemo is not end-to-end encrypted. We use ordinary industry measures such as transport encryption and access controls. That is not a promise that unauthorized access can never occur.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZYPHER AND ITS OFFICERS, MEMBERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some places do not allow these limits. In those places, our liability is limited to the maximum extent the law allows.

Indemnity

You will defend and indemnify Zypher against claims, damages, and reasonable legal fees arising from Your Content, your use of the Service, or your breach of these Terms, except to the extent we caused the claim.

Termination

You may stop using the Service and delete your account or workspaces as the product allows. We may suspend or terminate access if you breach these Terms, if we are required to by law, or if we discontinue the Service.

After termination, we may delete Your Content in the ordinary course of operating the Service, subject to backups we retain for a limited time and any legal hold. Download a restoreable backup before you leave if you want a copy.

Provisions that should survive — including ownership, licenses you granted, disclaimers, limits of liability, and indemnity — do survive.

Changes

We may update these Terms. The “Last updated” date at the top will change. If a change is material, we will provide a reasonable notice (for example by email or an in-app notice). Continued use after the effective date is acceptance of the updated Terms. If you do not agree, stop using the Service.

General

These Terms are the entire agreement between you and Zypher for the Service. They are governed by the laws of the United States and the state in which Zypher Systems, LLC is organized, without regard to conflict-of-law rules. If a court cannot enforce a part of these Terms, the rest still applies. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization or sale of the Service.
